Gen Mgtthe union of two or more organizations under single ownership, through the direct acquisition by one organization of the net assets or liabilities of the other. A merger can be the result of a friendly takeover, which results in the combining of companies on an equal footing. After a merger, the legal existence of the acquired organization is terminated. There is no standard definition of a merger, as each union is different, depending on what is expected from the merger, and on the negotiations, strategy, stock and assets, human resources, and shareholders of the players. Four broad types of mergers are recognized. A horizontal merger involves firms from the same industry, while a vertical merger involves firms from the same supply chain. A circular merger involves firms with different products but similar distribution channels. A conglomerate company is produced by the union of firms with few or no similarities in production or marketing but that come together to create a larger economic base and greater profit potential. -

Предложение о покупке акций по определенной цене, сделанное акционерам компании отдельным лицом или организацией с целью установления своего контроля над компанией. Если предложение о поглощении является желательным, директора компании рекомендуют акционерам принять его условия. Обычно такое поглощение называется слиянием (merger). Если предложение нежелательно или условия предложения неприемлемы, совет директоров советует акционерам отклонить его (см.: hostile bid (нежелательное предложение о поглощении)). В последующей схватке за поглощение (takeover battle) тот, кто сделал предложение, может выдвинуть более благоприятные условия и, как правило, расписать акционерам преимущества, которые, по его мнению, дает успешное поглощение. В то же время могут поступить предложения о поглощении от других организаций или частных лиц (см.: grey knight (“серый рыцарь”); white knight (“белый рыцарь”), либо первоначальное предложение будет снято в результате мер, предпринятых советом директоров компании-мишени (target company) (см.: poison pill (“отравленные таблетки”); porcupine provisions (“подкидывание ежей”)). В случае безусловного предложения о поглощении (unconditional bid) тот, кто сделал предложение, платит предложенную цену безотносительно к количеству приобретаемых акций, тогда как тот, кто выдвинул предложение о поглощении с условиями (conditional bid), согласен платить предложенную цену только в том случае, если он получает контрольный пакет. В Великобритании поглощения регулируются правилами и положениями Кодекса Сити по поглощениям и слияниям (City Code on Takeovers and Mergers).
